Terms of Service

What you are buying

Prism sells software subscriptions for a fixed period. An active subscription gives you the right to download, install and use the Software for as long as your payment is current. We do not sell permanent licenses. When your subscription ends, your right to use the Software ends with it.

Billing and renewal

Subscriptions are billed monthly or yearly, depending on the plan you chose at checkout. All payments are handled by Polar.sh. Your subscription renews automatically at the end of each period until you cancel, and by subscribing you authorise those recurring charges.

We may change pricing, billing intervals or what a plan includes at any time. If we materially change the price you pay, we will make a reasonable effort to tell you before it takes effect. Continuing to use the product after a change means you accept it.

The Free plan

We offer a free plan with monthly usage allowances and no payment method required. We may change those allowances, or discontinue the free plan, at any time and without notice, and we decide eligibility for it.

Cancelling and refunds

Cancel any time in your your Prism account. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then. We do not refund unused time inside a billing period.

We look at refund requests one at a time. If you hit a real technical problem we cannot fix, email support@oneprism.io and we will review it. We are not obliged to refund, but we aim to be fair.

Your license

Subject to these Terms and to payment, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on machines you own or control, for your own creative work, for as long as your subscription is active.

You may not copy, distribute or redistribute the Software; resell, sublicense or transfer access to anyone else; run it as a service bureau, time-share or hosted offering; or make it available to people who have not bought their own license.

Who owns what

All rights in the Software (source code, algorithms, interfaces, documentation, branding and associated intellectual property) remain the property of Prism and its licensors. These Terms give you no ownership. The Prism name, logo and product names are our trademarks and may not be used without written permission.

What you may not do

Use Prism lawfully and in line with these Terms. You may not reverse engineer, decompile, disassemble or extract the source code; get around or switch off any licensing, authentication or access control; use the Software to build or help build a competing product; scrape or harvest data from any Prism service; or use it in any way that breaks the law.

Suspension and termination

We may suspend or end your access at any time, with or without notice, if we reasonably believe you have broken these Terms, acted fraudulently, or acted in a way that harms Prism, its users or third parties. No refund is issued when we terminate for cause. Any part of these Terms that should survive termination does, including ownership, warranty disclaimers, limitation of liability and indemnification.

Availability

We aim to keep Prism running, but we do not guarantee uninterrupted, error-free or continuously available service. We may update, change, suspend or permanently discontinue any part of it, including features, integrations or the product as a whole, without notice and without liability to you. We are not responsible for harm caused by downtime, interruption or discontinuation.

No warranties

The Software and all Prism services are provided “as is” and “as available”, without warranty of any kind. To the maximum extent the law allows, we disclaim all warranties, express, implied, statutory or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any arising from course of dealing or trade usage. We do not warrant that the Software will meet your requirements, run without interruption, or be free of errors or security vulnerabilities.

Limits on our liability

To the maximum extent the law allows, Prism and its operator are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages arising from your use of, or inability to use, the Software, including lost data, lost revenue, lost profits, lost goodwill, business interruption, or damage to your creative projects, even if we were told such damages were possible.

Our total liability for any claim relating to these Terms or the Software, in any form of action, is limited to the total fees you paid us in the three calendar months immediately before the event that gave rise to the claim.

Indemnification

You agree to indemnify, defend and hold harmless Prism and its operator, affiliates, officers and agents against any claims, liabilities, damages, judgments, fines and costs (including reasonable legal fees) arising from your use of the Software, your breach of these Terms, your violation of anyone else’s rights, or any content you produce with the Software that infringes or breaks the law.

Changes to these terms

We may update or replace these Terms, our Privacy Policy, pricing, plans, features or any other part of the product at any time, at our discretion. Changes are posted at oneprism.io with a new date. If a change is material we will make a reasonable effort to email active subscribers before it takes effect. Continuing to use the product after a change means you accept it. If you do not agree, your remedy is to cancel and stop using it.

Governing law

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles, and disputes fall to the exclusive jurisdiction of the courts of Pakistan. Payments are processed by Polar Software, Inc. as Merchant of Record, and their own terms also apply to the payment itself.

The whole agreement

These Terms and our Privacy Policy are the entire agreement between you and Prism on this subject, and replace any earlier communications or understandings, written or spoken. If any part is found unenforceable, the rest still applies.
